RBMG Governance
Governance Guidelines of RBMG Inc.
The Board of Red Ball Market Global, Inc. is responsible for the oversight of the company and for ensuring that its affairs are conducted in a manner consistent with its objectives. The Board meets as required, and has met.
These guidelines set out the framework within which the Board operates. They are reviewed periodically and may be amended by the Board at its discretion. The current version supersedes all previous versions, which are not available.
- Independence. A majority of the Board is independent. Independence is assessed by the Board.
- Accountability. The Board is accountable to the company. The company is accountable to the Board.
- Transparency. Decisions of the Board are recorded. The record is held securely.
- Oversight of subsidiaries. Subsidiary entities operate under delegated authority, the extent of which is a matter for the Board.
- Conduct. Directors are expected to act in the interests of the company at all times, including where those interests are unclear.
